SELLER’S TERMS & CONDITIONS
THIS AGREEMENT SHALL BE APPLICABLE TO THE SELLERS WHO REGISTER THEMSELVES AND CREATE AN ACCOUNT IN THE WEBSITE.
THE SELLER SHALL BE BOUND BY THIS AGREEMENT IN ADDITION TO THE GENERAL TERMS AND CONDITIONS, TERMS OF SALE, PRIVACY POLICY AND DISCLAIMERS.
Boffin Butler Pvt. Ltd., is providing the Website with the option for Seller/s to register themselves on the Website so as to avail the full services provided by Boffin Butler Pvt. Ltd.
This Agreement which you agree to on registering yourself on the Website (www.boffinbutler.com) governs your use of the Website. Registered sellers shall be bound by this Agreement. Boffin Butler Pvt. Ltd., reserves the right to change or revise the terms and conditions in this Agreement at any time by notifying such changes by email to the registered sellers. The changed or revised Agreement shall stand effective immediately once it is posted on the Website and any seller who logs in thereafter shall be bound by the Agreement. Boffin Butler Pvt. Ltd., advises all sellers using the Website to review this Agreement whenever they visit the Website to make sure that they understand the terms and conditions governing the use of the Website. If you do not agree to this Agreement, including any policy or guidelines mentioned in this Agreement, then you are advised to immediately terminate the use of the Website.
USER INFORMATION
Boffin Butler Pvt. Ltd., shall collect user information of all the sellers using the Website to monitor, create statistics, understand the traffic, understand market requirements, etc., and the Sellers shall cooperate with Boffin Butler Pvt. Ltd., to ensure that no false information like masking of IP address, anti-tracking bots, etc. are used by them as this will render Boffin Butler Pvt. Ltd., from providing optimal services to all its users.
All sellers who wish to avail the full services of Boffin Butler Pvt. Ltd., will be mandatorily required to register themselves on the Website and this Agreement shall be applicable to such sellers.
All sellers who register themselves on the Website shall provide the following information to Boffin Butler Pvt. Ltd., unconditionally.
Know Your Customer (KYC)All sellers who register themselves on the Website shall be liable to provide all the details as specified in the registration form.
THE SELLERS WHO PROVIDE PERSONAL INFORMATION AS SPECIFIED IN THE FORM SHALL DECLARE THAT THE INFORMATION PROVIDED ARE TRUE AND CORRECT AND THAT THEY HAVE NOT WITHHELD ANY REQUISITE INFORMATION WHILE REGISTERING THEMSELVES. ANY SELLER WHO PROVIDES FALSE INFORMATION SHALL BE LIABLE FOR CRIMINAL BREACH OF TRUST, CRIMINAL FRAUD AND CRIMINAL MISREPRESENTATION AND Boffin Butler Pvt. Ltd., SHALL BE LIABLE TO APPROACH THE COMPETENT COURTS FOR RELIEFS.
Information collected under KYC may be sensitive information and Boffin Butler Pvt. Ltd., shall not disclose any such information in the public domain. KYC information shall be kept only for legal requirements and compliances to ensure that only registered sellers who are eligible to enter into transactions in this website are facilitated by Boffin Butler Pvt. Ltd.
IN THE EVENT ANY SELLER MISREPRESENTS OR PROVIDES FALSE INFORMATION, THEN Boffin Butler Pvt. Ltd., WILL NOT BE LIABLE FOR SUCH ACTS OF THE SELLER/S.
The seller shall be liable, as applicable, to provide the following basic information and further information as specified in the Form and may in the future be required to disclose and provide further information if deemed necessary by Boffin Butler Pvt. Ltd.
- Proof of Identity/Registration of the Seller as an Individual, Sole Proprietor, Institution, Company, LLP, Partnership, etc.
- Proof of eligibility to sell items on the Website.
- Proof of License and renewed License each time the License is renewed.
- Payment details like Account details, Card Details, etc.
Boffin Butler Pvt. Ltd., RESERVES ALL RIGHTS TO CANCEL THE REGISTRATION OF A SELLER IF EITHER DURING THE TIME OF REGISTRATION, RE-REGISTRATION, TIME OF UPDATING THE INFORMATION, ETC., THE SELLER FAILS TO PROVIDE Boffin Butler Pvt. Ltd., WITH THE REQUIRED INFORMATION. Boffin Butler Pvt. Ltd., SHALL HAVE THE SOLE RIGHT TO DECIDE WHICH INFORMATION SHALL BE REQUIRED FOR PERMITTING THE SELLER TO REGISTER OR REMAIN REGISTERED.
Payment InformationThe seller shall provide the payment information on the Website and any such other information that may be required by Boffin Butler Pvt. Ltd., at the time of registration and at the time of payment.
Boffin Butler Pvt. Ltd., shall take all necessary precautions that are generally taken to save payment information. However, in the event of hacking, malwares, etc., despite Boffin Butler Pvt. Ltd., having taken precautions, it shall not be liable to indemnify the Sellers. THE SELLERS SHALL BE RESPONSIBLE FOR USING THE INTERNET WITH ALL NECESSARY PRECAUTIONS THEMSELVES AND Boffin Butler Pvt. Ltd., SHALL NOT BE LIABLE FOR NEGLIGENCE BY THE SELLER, WHICH MAY RENDER THE WEBSITE UNSAFE OR INSECURE.
PRODUCT LISTING
The Seller shall upload the list of products available for sale in the format prescribed in the Vendor dashboard. Sellers should note that accurate and complete product information along with representative images are more likely to attract additional sales.
The Seller shall be solely responsible for any information, details, products, etc., posted by them on the Website, they shall ensure that Boffin Butler Pvt. Ltd., is not made responsible for such postings and they shall keep Boffin Butler Pvt. Ltd., indemnified in accordance with this Agreement. Boffin Butler Pvt. Ltd., is not liable for any damage or harm resulting from the product information posted on the Website. Boffin Butler Pvt. Ltd., reserves the right, but has no obligation, to monitor the information posted on the Website and to remove any content Boffin Butler Pvt. Ltd., deems objectionable or unlawful.
TAXES
The Seller shall be liable for payment of all applicable taxes and Boffin Butler Pvt. Ltd., shall not be responsible for non-payment of statutory dues of the Seller or if any undue tax is imposed on Boffin Butler Pvt. Ltd. In the event undue taxes are imposed on Boffin Butler Pvt. Ltd., towards any Products listed by any Seller, then that Seller shall cooperate, indemnify, defend or help defend and reimburse all expenses of Boffin Butler Pvt. Ltd., and ensure that the statutory dues so claimed are paid forthwith.
TERMS OF SALE
With respect to the sale of the Product by the Seller to the Buyer, the Seller hereby represents and warrants to the Buyer that:
- the Buyer shall have and enjoy quiet possession of the Product.
- the Product shall be free from any charge or encumbrance in favour of the third party.
- the Buyer shall be entitled to all the warranties and other deposits applicable to the Product.
- the Product shall meet the description and specifications as provided on the Website.
The Seller should deliver products to the Buyer within the stipulated period and the grievance redressal in relation to replacement of products or refund of amount to the buyer will be the sole responsibility of the Seller. The liability of any damage or loss of the Products during the way or delivery or during transition shall be on the Seller and not on the Buyer or Boffin Butler Pvt. Ltd. Any dispute between the Buyer and the Seller will be settled only between the both of them and Boffin Butler Pvt. Ltd., shall not be made a party with respect to any such disputes.
In the event Boffin Butler Pvt. Ltd., is made a party in any dispute raised by the Buyer where it pertains to any act or omission by the Seller, then the Seller shall ensure to defend Boffin Butler Pvt. Ltd., and indemnify Boffin Butler Pvt. Ltd., against any liability.
In certain cases, where the Buyer requires certain services in relation to a Product, such as warranty, after-sales or installation services, the Buyer shall directly contact the Seller or the Manufacturer. However, in the event the Buyer contacts Boffin Butler Pvt. Ltd., for the same, Boffin Butler Pvt. Ltd., may inform the Seller to provide or facilitate the provision of such services to the Buyer. Boffin Butler Pvt. Ltd., is not and shall not be obliged to provide any such additional services. Boffin Butler Pvt. Ltd.’s role in relation to facilitating such services shall be limited to facilitating communication between the Buyer and the Seller for the purpose of provision of such additional services.
Boffin Butler Pvt. Ltd., shall have the right to blacklist the Seller and impose penalties based on feedback received from the Buyer(s), internal checks, and violation of this Agreement by the Seller. For this purpose, Boffin Butler Pvt. Ltd., shall maintain a record of the entire history of usage of the Seller as a registered user.
CANCELLATION, REPLACEMENT AND RETURN POLICY
Cancellation by BuyerIf the Seller receives a cancellation notice and the order has not been processed, the Seller should cancel the order and the entire amount will be refunded to the Buyer.
Cancellation by SellerThe Seller reserves the right, at their sole discretion, to refuse or cancel any order for a valid reason. Boffin Butler shall have the sole responsibility to decide the mode of reversal of the payment in case of cancellation of pre-paid orders.
If the Buyer places the order and if the product is out of stock or if the Seller does not ship the material within the stipulated time then the entire amount will be refunded.
If the Seller sends a damaged/defective/expired/wrong product then they are liable to send a replacement for the same and bear the shipping charges. If the Buyer cancels the order then the entire amount will be refunded.
If the Seller sends an incomplete order then they are liable to send the remainder of the products and bear the shipping charges. In case the Seller is unable to send the remainder, a partial refund will be processed.
